Evernorth Heads to Nasdaq as XRPN With a 473 Million XRP Treasury: What to Know
Evernorth, the XRP treasury company backed by Ripple, was set to begin trading on Nasdaq under the ticker XRPN on Monday, October 12, after closing its merger with special purpose acquisition company Armada Acquisition Corp. II. The company says it enters public markets holding about 473 million XRP, which it describes as the largest treasury of any publicly traded company focused purely on XRP.
Here is what the company is, how the deal was structured, and what anyone looking at the new ticker should understand about how XRP treasury companies work.
The deal in brief
- Merger closed: Friday, October 9, 2026, according to Crypto Briefing, following Armada shareholder approval on September 30.
- Ticker: XRPN on Nasdaq. The debut was originally expected on October 8 before being pushed to October 12. Crypto Times reported the delay was due to an administrative issue.
- Treasury: About 473 million XRP.
- Cash: Roughly $300 million in gross proceeds before expenses. Coverage by CoinMarketCap broke this down as about $225 million from private placements, $30 million in convertible notes and around $48 million from Armada II’s trust.
- Backers: Ripple, Kraken, Pantera Capital, SBI Group, Arrington Capital and GSR. Arrington XRP Capital Fund is the SPAC’s sponsor.
- Leadership: CEO Asheesh Birla.
- Bell ringing: Evernorth said it expects to ring the Nasdaq closing bell on October 14.
What Evernorth says it will do
Evernorth positions itself as more than a passive holding vehicle. Its stated goal is to grow the amount of XRP backing each share over time. According to Crypto Briefing and CoinMarketCap, the plan includes:
- Institutional lending of XRP.
- Liquidity provision and DeFi yield strategies on the XRP Ledger, including use of Ripple’s RLUSD stablecoin.
- Running XRP Ledger validators and participating in the ecosystem.
- Funding tokenized assets, onchain credit markets and settlement infrastructure.
- Capital markets activity, such as raising new money to buy more XRP.
That approach links Evernorth’s fortunes to the health of XRP Ledger DeFi. The network has been adding features that could support those activities, as we reported in our look at XRP Ledger’s Permission Delegation and Batch upgrades. A proposed native lending amendment was still gathering validator votes as of October 11, with CryptoTicker reporting 17 of the 25 votes needed.
The price problem
The timing is not ideal. XRP was trading around $1.39 when the merger closed, according to Crypto Briefing. At that price, 473 million XRP is worth roughly $657 million. CoinMarketCap reported that Evernorth’s purchases were made at an average cost of roughly $2.54 per XRP, meaning the treasury sits well below its cost basis.
That matters because treasury companies are, at their core, leveraged expressions of the asset they hold. When the underlying token falls, the company’s net asset value falls with it, and the share price can trade at a discount to that value. When sentiment improves, shares can trade at a premium. Neither outcome is guaranteed.
How XRP treasury stocks differ from holding XRP
For anyone weighing an exposure like XRPN against simply owning XRP, a few structural differences stand out:
- Premium or discount to NAV. The share price can drift away from the value of the XRP the company holds.
- Dilution. Raising capital through new shares or convertible notes can increase XRP per share if done at a premium, or dilute holders if done at a discount.
- Operational risk. Lending and DeFi strategies add counterparty and smart contract risk that a holder in cold storage does not face.
- Custody. Shareholders own equity, not tokens, and cannot withdraw XRP. Those who want direct ownership typically hold coins in a wallet they control.
- Brokerage access. On the plus side, a listed stock can be held in ordinary brokerage and retirement accounts that may not support crypto directly.
Part of a bigger trend
Evernorth joins a growing list of public companies built around holding a single crypto asset, and a parallel trend of traditional assets moving onchain, such as the tokenized Apple, Nvidia and Tesla stocks Securitize launched on Solana. The XRPN debut will be an early test of public market appetite for an XRP-focused vehicle at a time when XRP is well below its recent highs.
